Terminology


Owner of the Intellectual Property refers to the owner of the rights inherent in the sports game Match5Live in all versions, including but not limited to the online version.


Website refers to the host site (and any related, ancillary site) of the online game Match5Live.


Owner of the Website refers to Top Notch Productions Ltd (UK).


Content refers to any content, emails, messages, photos or profiles submitted or sent by Users in relation to the website http://match5live.co.uk

 

User refers to any person who registers their details with the website and thereby agrees to comply with these Terms and Conditions. 


Profile
 refers to any information held by Top Notch Productions Ltd about a User, such information having been submitted by either the User to whom the information relates or another User, permission having been obtained by Top Notch Productions Ltd from the User to whom the information relates prior to such User's information being made available to other Users. 

By accessing this Website and using the contents therein, Users are deemed to have accepted and agreed to the following

Terms and conditions 

It is the responsibility of all players to read all of the Footer content on this website (including but not limited to Terms and Conditions and Privacy Policy) and the text that appears on the game pages. Registration Sign-Up as a Player is taken as your assurance that this has been done.

Where Registration was the direct result of an e-mail communication the registree confirms that this correspondence took place with prior agreement  between all interested parties.

The final decision on all disputes related to Match5Live rests with the Owner. This in no way affects recourse to legal remedies set in place to address such matters.

All games are free play. The decision to offer cash or other prizes for any individual game or jackpot reward is purely at the discretion of the Owner.

Subscribers to the Match5 Cash Back Guide (who are, by default, beneficiaries of Match5iver Club membership), qualify for monthly Win Back awards (see Win Backs)-  

Each game (with a unique reference) can only be played once by each registered player.

Any attempt to undermine this rule will render any relevant entries (submissions) null and void and may result in the registration of the player or players involved in the deceit to be suspended or cancelled.

Where game credits are purchased through an agent of Match5Live, any concerns arising from such a purchase (including but not limited to the validity of a game credit or the award of prizes) must be directed in the first instance to Match5Live. 

The Owner will not normally accept prize claims where an unintentional, but non-consequential, error has been made in the presentation of the game and it is claimed to have affected the result. However, the Owner may consider refunds or goodwill compensation.  

The Owner has no liability in the event that it becomes impossible for a game or games to be completed and, consequently, for associated prizes to be awarded, for whatever reason.

Not all games qualify for prizes or awards. 

Use of Cookies

A cookie is a small text file stored on your device, a string of letters and numbers that is sent by a web server to a web browser, and stored by the browser. Website Usage 

Persons under 18 years of age are not entitled to register as players. 

A registered User’s use of the Match5 website is personal and may not be transferred to any individual.

Access details shall not be provided to anybody else. In the event that such access is provided, the provider shall be liable for the breach.

Registered Users shall comply with all relevant and applicable laws and regulations which apply to the use of the Website in whatever country the User is physically located, including without limitation, consumer law, export control laws and regulations.

Users must not provide any false information in respect of name, email address, age, location or any other such details to Match5Live and/or other Users of the website. In the event of such a breach or suspicion thereof, the owners of the website reserve the right to disable, without notice, the User’s Match5Live account without explanation.  

The email address with which a User registers a Profile must be an active, valid email address that is able to receive email and which is controlled by the User.

No more than one profile per User is allowed. Breach of this condition will result in termination of the User’s existing, valid account.

 

In the event that the owner of the Website considers that a User is making an illegal and/or unauthorised use of the Website including, without limitation, submitting an inappropriate Profile, collecting usernames and/or email addresses of Users by electronic or other means for the purposes of sending unsolicited email, or unauthorised framing of, or linking to, the Website or sending abusive, harassing or threatening communications to Match5Live, its distributors, agents and or its employees, the owner of the website reserves the right to take any action that it deems necessary, including termination without notice of the registration and/or the instigation of legal proceedings.

In the event that illegal activities have been undertaken, we reserve the right to report such activities to the appropriate authorities. 

A User is solely responsible for any Content that is published or displayed by that User on the Website or that is transmitted by that User to other Users. 

In the event that the Owner of the website considers that any Content violates these Terms or is offensive or illegal or has the potential to violate the rights of, harm or threaten the safety of other Users, it reserves the right to take any action that it deems necessary, including, but not limited to, disabling a User’s account.

 

As a result of publishing or displaying any Content on any public area of the Website, the User automatically grants, represents and warrants to have the right to grant, to the Owner of the Website an irrevocable, perpetual, non-exclusive, fully paid, worldwide license to use, copy, perform, display and distribute such Content and to prepare derivative works of, or incorporate into other works, such Content and to grant and authorise sub-licenses of such Content. In respect of any such dealings by the Owner of the Website and its sub-licensees, the User hereby unconditionally and irrevocably waives any moral rights in the Content.

 

The User is solely responsible for interactions with other Users.

 

The Owner of the Website reserves the right to make changes to it without any prior notice to Users, provided that such changes have no significant, demonstrable and material adverse impact.

 

The Owner of the Website will operate it to the industry standard.

 

It may, however, be necessary, on occasions, to temporarily suspend the Website for operational reasons, including but not limited to repairs, planned maintenance or upgrades. The Owner of the Website shall not be liable for any such suspension.


Term and Termination
 

 

The Terms and Conditions will remain in force, including any amendments, until further notice of termination.

 

The owner may, at any time, terminate the agreement with the User, deny the User access to the Website and delete the User's Profile and any other Content the User has submitted by Use of the Website upon provision of reasonable notice and with immediate effect, by e-mail, where there has been a breach of these Terms and Conditions.


Intellectual Property
 

 

The intellectual property, (copyright, expression of interest, rules of the Match5Live game, any description of how to play Match5Live, including the In Play Guide, game play mechanisms, all existing and yet to be published Website pages, trademarks, patents, design rights etc), associated with the functionality and design of the Website and the entirety of the Content is owned by Top Notch Productions Ltd.

 

The following are expressly prohibited, without the prior and written permission of the Owner of the Intellectual Property inherent in the online sports game Match5Live:

Replicating, copying, editing, transmitting, uploading, removing or modifying materials covered by the ownership of the intellectual property rights and copyright vested in the game Match5Live in all of its iterations now and in the future.


It is also expressly prohibited to incorporate any Content or other materials and features covered by the intellectual property ownership of Match5Live into any other third party sites or materials without prior and written permission.

 

The owner of the Website is not responsible for the conduct of Users either online or offline.

 

The Content may, from time to time, include facts, views, opinions, advice and recommendations by third parties. These are not necessarily endorsed by the owner which shall not be liable on account of the accuracy, defamatory nature, completeness, timeliness or otherwise of the information provided on the Website.

 

The Website may contain errors and, from time to time, may not be accessible by Users. In any event, the information provided on the Website is intended as information only and does not constitute advice. Therefore, it must not be relied on to assist in making or refraining from making a decision, or to assist in deciding on a course of action.

 

The Website displays the dates, times, locations, teams, players and other information relevant to sports events on which games of Match5Live are based. Reasonable endeavours will be used to ensure that the data is accurate, but the owner of the Website shall not be liable for any inaccuracy of these data, and shall not provide any recourse for decisions taken by a Match5Live player on the basis of inaccurate data.


Warranties, Liabilities and Indemnity

Where the User makes a claim or right of action against any other User arising from that User's use of the Website, it must be made independently of and without any demands on the Owner of the Website. The owner is released from all claims, liability and damages arising from or in any way connected to such claim or action.

 

In the event that a claim or action is brought against the owner of the Website, arising from a User’s activities or Use of the Website, including any breach by the User of these Terms or any charges or complaints made by other parties against the User, the User agrees to pay, hold harmless and defend the owner of the Website in the claim or action. The User also agrees to cooperate as fully as possible in the defence of any claim and allow the Owner of the Website to assume the exclusive defence and control of the matter.


Changed Terms 

The owner of the Website may alter or amend the terms and conditions with reasonable notice. By continuing to use the Website after expiry of the notice period, the User will be deemed to have accepted any amendment to these Terms and Conditions. If, on receipt of such notice, the User wishes to terminate the agreement with the Owner of the Website the User may do so by giving no less than seven (7) days notice, such termination to take effect on the date upon which the amended terms and conditions would otherwise have come into effect.


Law and Jurisdiction 

 

Users irrevocably submit to the exclusive jurisdiction of the courts of England and Wales to settle any dispute that may arise out of or in connection with these Terms and Conditions, unless otherwise agreed by the Owner of the Website.
